License agreements

License models

Perpetual Model

The Perpetual License Model offers clients a nonexclusive, royalty-free, non-transferable, perpetual (non-expiring) right and license to access and use the Software indefinitely based on a one-time license fee paid by the client.

Subscription Model

The Subscription License Model offers clients a nonexclusive, royalty-free, non-transferable, right and license to access and use the Software for a defined period of time based on a yearly pre-paid license fee paid by the client annually to retain access and use of the Software.

1 Website License

1 Website License allows you to use Kentico Xperience Enterprise/Business for one live website. The website may have one main domain and any number of additional domain aliases that point to the same content as the main domain.

Different language versions of the same website that are created using the built-in multi-lingual support are all considered as the same website.

If you run websites with different content on sub-domains of the main domain, such as store.mydomain.com, these websites are considered as a new website and require an additional license.

If you run a mobile version of your site within the same Kentico Xperience Enterprise/Business website (within the same content tree) as your main site, 1 Website License covers both the main site and the mobile site.

If you run multiple sites with different design and/or purpose in a single Kentico Xperience Enterprise/Business website, each of these sites still needs 1 Website License.

License options for Kentico Xperience Enterprise/Business are available in two types: Single Server License(s) and Auto-scaling License(s). For licensing in web farms, in the cloud and on virtual servers please read the relevant paragraphs below.

Below you can find few basic examples how the licensing for website licenses is considered:

Scenario #1 - VALID for 1 Website License

Client is running www.xyzcompany.com, and they have a sub-section of the site www.xyzcompany.com/abc (with or without an alias or sub-domain, ex: www.abc.xyzcompany.com). The sub-section is a publicly accessible area of the primary domain, where the same Masterpage, Main Navigation and Templates are used.

Scenario #2 - VALID for 1 Website License

Client is running www.xyzcompany.com, and they have a sub-section of the site www.xyzcompany.com/abc (with or without an alias or sub-domain, ex: www.abc.xyzcompany.com). The sub-section is a publicly accessible area of the primary domain, where the same Masterpage and Main Navigation are used; but different Templates are used.

Scenario #3 - VALID for 1 Website License

Client is running www.xyzcompany.com, and they have a squeeze page (i.e. landing page) for a campaign of the site www.xyzcompany.com/campaignABC (with or without an alias or sub-domain, ex: www.campaignABC.xyzcompany.com or www.campaignABC.com). The sub-section is a publicly accessible area of the primary domain, where the design is unique for such landing page, including unique Masterpage, Main Navigation, Template, etc.

Scenario #4 - INVALID for 1 Website License

Client is running www.xyzcompany.com, and they have a sub-section of the site www.xyzcompany.com/abc (with or without an alias or sub-domain, ex:www.abc.xyzcompany.com). The sub-section is a publicly accessible area of the primary domain, where the same Masterpage is used; but a different Main Navigation and Templates are used.

Scenario #5 - INVALID for 1 Website License

Client is running www.xyzcompany.com, and they have a sub-section of the site www.xyzcompany.com/abc (with or without an alias or sub-domain, ex: www.abc.xyzcompany.com). The sub-section is a publicly accessible area of the primary domain, where a different Masterpage, Main Navigation and Templates are used.

5 Website License

The Kentico Xperience Enterprise/Business 5 Website License allows you to use five main domains for a single organization and/or for entities controlled by this organization by at least 50%. The server doesn't have to be your property - it can be a shared, virtual, or rented dedicated server.

Virtual servers

If you use multiple virtual servers on a single server or cloud instance for the purpose of separation of environments for security or configuration reasons (e.g., running a public website, intranet, and extranet on three virtual machines on a single physical server), these virtual servers are still considered as a single server for the purposes of the Perpetual License Model.

If you use multiple virtual servers on a single server or cloud instance for the purpose of higher availability or scalability, each of these virtual servers is considered as one additional server or cloud instance for the purposes of the Perpetual License Model and would require upgrading to an auto-scaling license type.

Cloud licensing

Multiple cloud instances are considered as multiple servers in a web farm for the purposes of the Perpetual License Model and would require upgrading to an auto-scaling license type.

Source code

There are two levels of source code:

  • Source code of the web project and of the administration interface - this source code is provided with all license editions under both the Perpetual License Model and the Subscription License Model.
  • Full source code of all libraries and controls - this source code is provided only as a part of the Source Code licensing option

The full source code is not necessary for common use of the product - you can create flexible dynamic websites without modifying the full source code. It's intended for users who need to make advanced modifications to the core CMS libraries.

Maintenance

When you purchase any Kentico Xperience Enterprise/Business license, under the Perpetual License Model, a one year maintenance agreement is included with your license purchase. The maintenance covers:

MVC development

The Kentico development model for ASP.NET MVC applications relies on the Web Farms functionality. Without an appropriate license key, certain Kentico services (for example Smart Search) cannot work properly because the data is not synchronized. All licenses with auto-scalability automatically support all MVC configurations so there are no further licensing considerations required. Under the Perpetual License Model, for clients purchasing the single server license option, you only need to purchase a license for the MVC application. The additional license for the Kentico administration and one extra web farm server is freely included with your license. To request appropriate licensing for your MVC project, contact our sales department.

Web Farms

To run Kentico Xperience Enterprise/Business on more than a single server or cloud instance, you must upgrade your perpetual license to an auto-scaling license option.

Within the auto-scaling option, for both the Perpetual and Subscription license model(s), there are no additional server license fees, and the license will dynamically scale, as needed.

No user licenses

There are no per-user fees.

Development, staging, and QA license at no extra cost

There's no per-developer fee. Under both license models (i.e. Perpetual and active Subscription), you are entitled to install Kentico Xperience Enterprise/Business on any number of development, staging, and QA computers that are not used for displaying content to the website audience.

Fail-over servers

If you run a fail-over server that is being synchronized with the production server in real time using the Kentico Xperience Enterprise/Business web farm server synchronization mechanism ("active-active" model), under the Perpetual License Model, it requires an upgrade to an auto-scaling license option.

If you run a fail-over server that is not used to serve content and that is being synchronized with the production server using some custom periodic synchronization such as copying database and files from production to the fail-over server ("active-passive" model) no additional license is required for such fail-over configuration under either license models (i.e. Perpetual or Subscription).

License transfers

You can transfer the license to a third-party e.g., to your client. You can only transfer the whole license, not part of it. If you want to transfer a license, please contact our sales team.

Free edition

The Kentico Xperience Free Edition allows you to build commercial or personal sites for free. You get a license that never expires, without hidden fees. You are, however, required to place a “Powered by Kentico Xperience” “no-follow” link pointing to http://www.xperience.io in the footer of every page running on Kentico Xperience. Maintenance

When you purchase any Kentico Xperience Enterprise/Business, under the Perpetual License Model, a one year maintenance agreement is included with your license purchase. After the first year, you may optionally renew the maintenance agreement or continue using the software without an active maintenance agreement.

Under the Subscription License Model, a maintenance agreement is included with all paid and active subscriptions.

 The maintenance covers:

  • free technical support during the maintenance period
  • free major upgrades (11.0, 12.0, etc.) released during the maintenance period

See the maintenance renewal prices.

Maintenance renewal process and late renewals

Under the Perpetual License Model, customers receive a notification of expiration two months ahead, one month ahead, and at the time of expiration. Then, they have 30 days to renew their maintenance agreement. Afterwards, the maintenance agreement renewal costs 50% more. The example below illustrates the process

Under the Subscription License Model, customers receive a notification of expiration one month ahead, five days ahead, and on the day of expiration. Customers must pay for the subscription before the expiration date, otherwise the front-end of the website will be no longer available.

Upgrades

Upgrades to a new version

Major upgrades (11.0, 12.0, etc.) are provided free of charge only to customers who own a license with an active maintenance agreement. Clients without active maintenance agreements must purchase major upgrades.

Minor upgrades (11.5, 12.5, etc.) are provided free of charge to all customers who are authorized to use the related major version (11.0, 12.0).

Upgrades to a higher license or edition

Under both licensing models (i.e. Perpetual and Subscription), if you need to upgrade a single license to a higher edition license (e.g., to Kentico Xperience Enterprise) it's possible to purchase the upgrade at any time and we will provide you with credit based on your initial purchase.

For example, a client that has just purchased a license in the last two months will receive a 100% credit equal to the value of their purchase towards the new license that they are upgrading to. A client in the first 12 months will receive 75% of the value of their license as a credit, after 12 months they will receive a 50% credit, and after four years a 25% credit towards a new purchase. Please note that the client needs to have valid maintenance for their license.

Below, you can find an example of a customer who purchases a perpetual model Kentico Xperience Business - 1 Website License for $14,999:

The customer later decides to upgrade to a perpetual model Kentico Xperience Enterprise - 1 Website License ($29,999). Depending on the time when they decide to upgrade, the upgrade fee will be calculated as follows:

6 months after purchase75% x $14,999 = $11,249 $29,999 - $11,249 = $18,750
2 years after purchase50% x $14,999 = $7,500 $29,999 - $7,500 = $22,499
5 years after purchase25% x $14,999 = $3,750 $29,999 - $3,750 = $26,249

Cloud licensing

If you're using Kentico Xperience Enterprise/Business in a cloud hosting environment, such as Windows Azure, Amazon EC2, or Rackspace Cloud, where dynamic scaling of the environment is available; under the Perpetual License Model, an Auto-Scaling license is highly recommended, although not required. In cloud environments, an instance is considered equivalent to a server, no matter how many servers are involved.

Under the Subscription License Model, the license will dynamically scale, as needed.
